Lindsay Tulloch advises fund managers, investors and corporates on the structuring and establishment of alternative investment funds. She has over twenty-five years of experience of private equity and venture capital strategies, as well as real estate and media investments.

She supports clients in the design and implementation of complex fund structures and investment platforms, including cross-border and multi-jurisdictional arrangements. Lindsay brings extensive experience in international corporate structures, enabling her to assist clients in navigating legal and regulatory frameworks and structuring their investments efficiently.

Lindsay's relevant experience includes advising:

  • mojo.capital and one of the investors of Mojo Digital One Co-Invest Four, a co-investment vehicle established by mojo.capital, to enable that investor to exit the co-investment vehicle while retaining its own exposure to the asset.
  • A leading investor in the global energy transition on the structuring and implementation of a complex refinancing and bridging solution in which two affiliated investment funds were involved.
  • A leading infrastructure investment manager with the structuring, formation and launch of its flagship alternative investment fund focused on renewable energy infrastructure, implemented through a master-feeder structure involving a SICAV-RAIF (SCA) feeder investing into a SICAV-SIF (SCSp).
  • European Investment Bank (EIB) on its investment in LeapFrog Climate Fund LP, a Mauritian equity closed-ended growth equity fund, supporting companies promoting low-carbon transitions and climate-resilient pathways in emerging markets.
  • Tioga Capital Partners with the structuring, formation and commercialization of its third private equity crypto fund (“Flagship Fund II”), a non-public closed-end alternative investment fund managed by a sub-threshold AIFM and focused on blockchain investments.Tioga Capital Partners on the structuring of a carried interest and co-investment scheme for a Luxembourg investment fund, including the design of a dedicated vehicle ensuring alignment between individual carry entitlements and co-investment participation, including for joiners and leavers within the management team.
  • A German asset manager in renewable energies on setting up a carried interest and co-investment vehicle for multiple investee funds.
