Scott Cowan is a lawyer whose practice represents both mature and emerging technology, life sciences and healthcare companies in all facets of their business. He focuses in particular on mergers and acquisitions, corporate finance transactions, and general strategic and corporate counselling. He has counselled numerous entrepreneurs and emerging growth companies in planning profitable liquidity strategies and regularly serves as outside general and securities counsel for private and public companies at various stages of development.
Scott advises a broad range of clients, including startup and emerging companies, publicly held middle-market companies and venture capital and private equity firms.
Scott's mergers and acquisition experience includes extensive private company and fund representation in all types of transactions, including carve-out acquisitions and divestitures, joint ventures, buyouts and controlled investments.
Scott's venture capital experience includes both company and investor-side representation.
Scott's experience in the securities domain includes IPOs, CMPOs, PIPEs, registered direct offerings and direct follow-on offerings, as well as corporate governance and periodic reporting activities.
Scott chairs our New Jersey corporate practice group and is a member of the firm's National Leadership group of the US Emerging Growth and Venture Capital practice. In addition, Scott leads our national recruiting efforts for the firm's 1L and 2L summer associate corporate programs.
