About

Amin Bouazza advises financial institutions, private equity sponsors and multinational groups, in high-stakes proceedings before the Luxembourg courts, often involving cross-border elements and broader strategic considerations.

Amin’s practice sits at the intersection of contentious and transactional matters. Having previously advised on M&A, private equity transactions, joint ventures and corporate restructurings, Amin is frequently involved in disputes arising out of investment structures, fund operations and corporate governance situations, shareholder conflicts and directors’ liability claims, where legal, structural and commercial issues are closely linked.

Amin also has substantial experience in complex debt recovery and enforcement matters, including proceedings requiring urgent or strategic action before the Luxembourg courtS.

He completed a secondment in DLA Piper’s Dubai office, strengthening his international arbitration experience through work on disputes involving Gulf-based investors, cross-border investment structures and offshore financial centres, including the DIFC and ADGM.

Amin's relevant experience includes advising: 

  • A leading global asset manager in connection with a EUR 90 million multi-jurisdictional recovery strategy relating to investments made by several of its managed entities in defaulted bond issuances governed by Luxembourg, English and Dutch law. 
  • A Luxembourg-based infrastructure investor in high-profile Luxembourg enforcement proceedings arising from a successful ICSID Energy Charter Treaty arbitration against the Kingdom of Spain concerning reforms to Spain’s renewable energy regime.
  • Astra Asset Management UK Limited, a leading European credit manager, in the recognition and enforcement of an English judgment in Luxembourg against the Luxembourg-based parent company of a group active in the electric vehicle sector.
  • A Palo Alto-based private equity firm in a corporate governance dispute with former managers and minority shareholders concerning the validity of shareholder resolutions approving a EUR 5.14 million share capital increase.
  • One of Thailand’s leading banking groups, in connection with a USD 400 million high-value investment dispute involving a Luxembourg investment fund. 
  • A Chinese textiles and clothing company in relation to its legal options regarding a defaulted USD 140 million mezzanine loan to a Luxembourg company.The Luxembourg’s largest independent general construction and real estate company in a USD 91 million complex, multi-jurisdictional dispute arising from a 50/50 joint venture concerning the acquisition and financing of a high-end UK property.
  • A Spanish state-owned development finance institution in cross-border litigation against a Luxembourg investment fund arising from the financing of a solar panel installation project in Mexico.
  • A Luxembourg-based real estate investment company in connection with a EUR 24 million financial distress and bondholder dispute arising from a bond issuance.
  • A US asset manager in a Luxembourg shareholder dispute involving a request for a court-appointed management expert.
  • The Scottish joint administrators of Signal Real Estate opportunities (lux) Investco IX S.à r.l. (Signal), a Luxembourg-based real estate investment entity, in a complex cross-border insolvency matter involving parallel proceedings in Luxembourg and Scotland.
  • The Project Fürst companies on a landmark 2024 English Part 26A plan to restructure over EUR 1 billion in debt for a Berlin property development.
  • A US-based investment manager, specialised in managing tail-end or challenged funds, on the LPAC-initiated removal of the general partner of a Luxembourg alternative investment fund, and on the related restructuring of the fund and its investment structure.
