About

Justyna Bartnik advises on real estate law and commercial law. 

She supports clients in the legal aspects of real estate transactions and construction investments, with a particular focus on logistics and warehouse projects. She assists at all stages of the investment cycle, from analysing the legal status of real properties, developing project and transaction structures, and raising finance, to drafting development management, property management and lease agreements.

EXPERIENCE

  • Advising a global real estate investor on a sale and leaseback (S&L) transaction involving two ultramodern production facilities spread over a combined area of 264,000 sq. m. Worth over PLN 1 billion, this is the largest S&L transaction conducted in the CEE region to date (2025).
  • Advising a global real estate investor on the acquisition of a 57,700 sq. m. property in Sosnowiec for the development of a logistics facility. The advice included a comprehensive due diligence, a review of the lease agreement and the negotiation of a development agreement.
  • Advising the Romanian-Belgian developer SPEEDWELL Development on the purchase of a plot of land in Warsaw from BPI Real Estate Poland and ACTEEUM Group to be used for the construction of private dormitories for approximately 600 students.
  • Advising DHL Exel Supply Chain on the cross-border sale (sale and leaseback transaction) of a EUR 500 million logistics portfolio, including warehouse buildings with a total area of 200,000 sq. m., in Poland, Germany, the Netherlands, Sweden, Italy and Finland to a major German investment fund. The transaction was structured as a forward funding agreement. The advice included the negotiation of the general construction agreements and lease agreements. 
  • Advising DHL Exel Supply Chain on the development of a logistics centre with a total leasable area of 30,000 sq. m. near Poznań, with a leading warehouse developer, including conducting a due diligence review, assisting in the acquisition of the real properties, negotiating the development agreement, and providing support during the construction and post-construction asset management process.
  • Advising Panattoni on the acquisition of a real property in southern Poland intended for the construction of a 33,000 sq. m. warehouse-production-office building and on the development management agreement and lease agreement concerning the property.
  • Advising a financial institution on the sale of an office building in Warsaw (with a total leasable area of 5,600 sq. m.) together with the sale of shares in the management company.
  • Advising Panattoni on the negotiation of numerous agreements with various investors for the management of a development process concerning multi-let warehouse facilities in a number of locations in Poland, including Łódź, Kraków, Warsaw, Bytom and Poznań.
  • Advising Panattoni on the sale of a number of logistics centres in Poland, including in Łódź, Warsaw and Grodzisk Mazowiecki.*
  • Advising a French real estate investment fund on the acquisition of an office building in Warsaw, including conducting a due diligence review of the property, preparing and negotiating the transactional documentation, negotiating the insurance policies relating to the titles to real properties, and negotiating the seller's representations and warranties.*
  • Participating in a due diligence review relating to the acquisition of a logistics portfolio including properties in Poland, Germany and the UK.*
  • Advising a US real estate investment fund on the acquisition of a logistics centre in Łódź, including conducting a due diligence review of the property and preparing and negotiating the transactional documentation.*
  • Advising a French real estate investment fund on the asset management of an office building in Warsaw, including negotiating lease agreements and representing the client in pre-court proceedings in disputes with tenants.
