Paweł Korniluk advises both Polish and multinational clients from a variety of sectors on corporate income tax (CIT), personal income tax (PIT) and VAT. 

He provides support in the planning of international and domestic tax structures, drafts legal opinions, and prepares requests for individual interpretations of tax legislation. 

Pawel also advises on issues related to withholding tax, transfer pricing and family foundations, as well as participating in due diligence reviews.

EXPERIENCE

  • Advising Atmos Ventures on the USD 1.08 billion share-for-share swap between Oxford Ionics and Ion, including cross-border tax structuring for fund managers in Poland, the US, UAE and UK.
  • Advising Enterprise Investors on a EUR 58 million investment in eTravel S.A and taking a 77% stake in Formeds.
  • Advising Urgo, a family-owned, global pharmaceutical group, specialising in innovative medical solutions, on the acquisition of MyBestPharm S.A., a producer and distributor of dietary supplements and pharmaceutical products, enhancing Urgo's presence in Poland, diversifying its operations, and expanding its footprint in the pharmaceutical sector.
  • Advising BASF, the world’s largest chemical conglomerate, on a major demerger and spin-off of part of its business engaged in the production of catalysts which reduce the emission of harmful substances in cars, trucks and motorcycles.
  • Advising the shareholders of Inter-Turbo sp. z o.o. on the tax aspects of the sale of their entire stake in the company to Budweg Caliper A/S, a subsidiary of BBB Industries, LLC.
  • Advising Danaher on intra-group operations, including transfer pricing issues.
  • Advising clients on the tax aspects of employee incentive plans, including those based on tokens.
  • Advising clients on the tax aspects of business transactions, including share sales, share acquisitions, and share exchanges.
  • Advising clients on the tax aspects of corporate reorganisations, including mergers, demergers, restructurings and liquidations, as well as sales and acquisitions of operating companies.
  • Advising on all aspects of family foundations.
  • Assisting energy-intensive companies in obtaining refunds in connection with gas and electricity price increases resulting from the 2021–2023 energy crisis.
  • Advising multinational clients in preparing their transfer pricing policies.
