• Flix, a global travel tech company, on the acquisition of a majority stake in FlibTravel International, the top company of the Flibco group, a leading European airport transfer platform, from the Luxembourg based family group SLG (formerly Sales Lentz Group), which is active in mobility and travel in Luxembourg, Belgium and the Greater Region.
• A France-based independent private equity investment and asset management company, on the structuring and establishment of a Luxembourg investment vehicle dedicated to acquiring a minority stake in a UK incorporated company owning the Heathrow airport, and the syndication of the client’s stake in such joint venture.
• Honeywell International Inc. on complex cross-border corporate restructuring steps, including intra-group distributions, equity reorganizations, sales and contributions to implement the revised group structure.
• Oval Real Estate and Alinor Capital on the establishment of a Luxembourg joint venture for the acquisition of One Tony Wilson Place, a landmark infrastructure asset in Manchester.
• A UK-focused logistics real estate investment, development and asset management group, in the sale and joint venture of the indirect shareholder of a Luxembourg private limited liability company.
• A Palo Alto-based private equity firm specializing in investments in software, data analytics and technology-enabled services on the implementation of an enhanced and revised management incentive plan at the level of one of its Luxembourg holding vehicles.
• A global real estate investment firm, on a highly strategic restructuring of existing corporate structures, including adjustments to the existing capital structure and the integration of our client's interests into a new corporate framework.
• A German company manufacturing batteries for global automotive, industrial, and consumer markets, on key Luxembourg corporate law aspects of its complex restructuring plan to avoid bankruptcy.
