Stefanie Duda Karidis is a finance attorney whose practice spans a diverse range of lending and corporate finance transactions. Her experience encompasses ECA-supported finance, domestic and cross-border lending, leveraged finance, venture lending, and general corporate finance matters.

Stefanie regularly represents banks, lenders, and other financial institutions in connection with secured and unsecured credit facilities across a variety of financing structures.

Stefanie also maintains an active borrower-side practice, with particular depth in venture lending. She counsels companies seeking growth capital and other financing, guiding them through the particulars of such transactions.

A distinguishing feature of Stefanie's practice is her niche specialty in representing administrative agents, collateral agents, trustees, paying agents, and escrow agents. She advises these clients on the full spectrum of issues they encounter in complex financing arrangements, from agency agreements, fee structures, and indemnification provisions to day-to-day legal and operational challenges that arise in syndicated loans, bond issuances, and other multi-party transactions.

  • Represented a large financial institution in connection with the establishment of a first lien facility and second lien facility for a international cable conglomerate.
  • Represented the lenders in separate EKN, Finnvera, D/D, and K-sure covered facilities to a U.S. public telecommunications company.
  • Represented a large bank as facility agent and lender in connection with an EDC-backed credit facility.
  • Represented an ECA and large bank in connection with a loan facility to a bank in Honduras.
  • Represented a large bank as facility agent and lender in a credit facility for a corporation based in India, guaranteed by U.S. Ex-Im Bank.
  • Represented a large bank in its capacity as agent in connection with a SACE facility in relation to the financing of the modernization of the borrower’s steel plant.
  • Represented a large bank as agent in connection with a combined private placement and debt facilities for two Chilean solar companies.
  • Represented a large bank in its capacity as collateral agent in connection with a loan facility and senior notes relating to the construction of a courthouse in Oregon.
  • Represented a large bank in its capacity as collateral agent and depositary bank, in connection with a facility in relation to the financing of a solar photovoltaic power plant in Texas.
  • Acted for a large financial institution in its capacity as collateral agent, registrar and paying agent in a secured notes purchase agreement in relation to an offshore wind project in Maryland and toll roads in the Italian Republic.
  • Represented a large financial institution in its capacity as agent in connection with a loan facility in relation to certain wind projects in the Republic of Chile.
